Terms of Service

Last updated: October 26, 2026

1. About these Terms

These Terms of Service ("Terms") are a legal agreement between Rocky Mountain Tech AB Ltd., a company based in Calgary, Alberta, Canada ("we", "us", "our"), and the dealership or other business that signs up for Appraise for Dealers ("you", "your" or the "Customer").

"Service" means the Appraise for Dealers mobile app, website, and all related features, data, reports, software, support and hardware we provide. "Users" means the people the Customer allows to use its account, such as owners, managers, appraisers and other staff.

By creating an account, starting a trial, subscribing or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service. The person who accepts these Terms for a business confirms that they have authority to bind that business.

2. Business use only

  • The Service is for businesses only, mainly licensed motor vehicle dealers and their staff. It is not offered to consumers and is not for personal, family or household use. By using it, you confirm that you are using it for business purposes.
  • Every User must be at least 18 years old and authorised by the Customer to use the Service on its behalf.
  • You must give us accurate information about your business and keep it up to date.
  • You are responsible for holding any licences or registrations your business needs, such as a motor dealer licence in your province.

3. Accounts and team members

  • The Customer is responsible for everything that happens under its account, including everything its Users do or fail to do, as if the Customer did it itself.
  • The Customer's account owner controls who has access, what role each User has, and who may use sensitive features such as clearing trouble codes. Remove access promptly when someone leaves your business or should no longer use the account.
  • Each User needs their own login. Keep passwords and devices secure, and don't share logins.
  • Tell us right away at [email protected] if you suspect unauthorised access to your account. We are not responsible for losses caused by unauthorised use of your logins or devices.
  • We may refuse, suspend or close accounts that give false information or that we reasonably believe are being misused.

4. Free trial

  • New dealerships may get a free trial of 14 days, or another length we offer. A credit card is not required to start a trial unless we say so.
  • One trial per dealership. We decide who is eligible, and we may change, shorten or end a trial at any time.
  • During a trial the Service is provided "as is", and Sections 6, 17 and 18 apply in full.
  • When a trial ends without a paid subscription, features that need a subscription stop working. Your saved records may stay viewable for a limited time, but we don't promise to keep them (see Section 22).

5. Subscriptions, fees and payment

Buying a subscription

  • Paid subscriptions are sold directly by us to businesses through our website, and are billed by our payment processor. They are not sold in the mobile app or through any app store.
  • Fees depend on your plan and the number of rooftops (locations) or Users you choose, as shown on our website or at checkout. All fees are in Canadian dollars.
  • You authorise us and our payment processor to charge your payment method for all fees and taxes when they are due.

Automatic renewal

Subscriptions are monthly and renew automatically. At the start of each billing month we charge the fees for your plan at the rates then in effect, until you cancel.

Cancelling

  • You can cancel at any time from the billing page on our website or by emailing [email protected].
  • Cancellation takes effect at the end of your current paid month. You keep access until then, and you will not be charged again.

No refunds

Fees are not refundable, and we don't give refunds or credits for partial months, unused time, unused seats or rooftops, or downgrades, except where the law requires it.

Fee changes

We may change our fees or plans by giving you at least 30 days' notice by email or in the Service. New fees apply from your first billing date after the notice period ends. If you don't agree with a change, cancel before then.

Taxes

Fees don't include taxes. You are responsible for all applicable taxes, such as GST, HST, PST or QST, which we will add to your invoice where required.

Late or failed payments

  • If a payment fails, we may retry the charge and ask you to update your payment method.
  • If an amount is still unpaid after we notify you, we may suspend or limit your access until it is paid. If it remains unpaid 30 days after our notice, we may close your account.
  • You are responsible for reasonable costs we incur to collect overdue amounts.
  • Please contact us before disputing a charge with your bank or card issuer. Disputing a valid charge is a breach of these Terms, and we may suspend your account while it is resolved.

6. Estimates only: not an appraisal or a guarantee

Everything the Service produces is an estimate for information only. This includes:

  • vehicle values of any kind, including wholesale, retail, trade-in, maximum buy and price targets;
  • comparable listings, sold data, days on market and other market statistics;
  • repair, reconditioning, paintless dent repair and paint estimates;
  • AI photo inspection results, AI trouble code definitions and AI reads of invoices or documents;
  • fraud and risk flags, such as recently cleared codes, odometer or rollback checks and module mismatches;
  • OBD-II readings, trouble codes and live data;
  • recall, vehicle history and VIN decoding information; and
  • export, duty, tax and exchange-rate estimates.

These estimates are not:

  • an appraisal by a licensed or certified appraiser;
  • a mechanical, safety, emissions or pre-purchase inspection;
  • a vehicle history report or a confirmation of a vehicle's odometer reading;
  • legal, tax, customs, accounting or financial advice; or
  • a guarantee, or an offer by anyone to buy or sell a vehicle at any price.

Estimates can be wrong, incomplete or out of date. AI can miss damage that is there, or report damage that isn't. A flag is a signal to look into further, not proof of fraud, tampering or a defect, and the absence of a flag doesn't mean there is no problem. Don't accuse anyone of wrongdoing based only on what the Service shows.

You are solely responsible for your own decisions, including what you buy, what you pay, how you price, recondition, finance or sell a vehicle, and what you tell buyers, sellers, lenders and others. You remain responsible for inspecting vehicles, confirming their condition, history and odometer readings, and making every disclosure required of you under dealer licensing, consumer protection and other laws. Using the Service does not reduce those duties.

7. OBD readers, scans and clearing codes

  • Use at your own risk. You connect an OBD-II reader to a vehicle and use the scan features entirely at your own risk.
  • Authorised vehicles only. Only connect to and scan vehicles that you own or that you have permission to inspect, such as your inventory or a trade-in whose owner has agreed.
  • Use it safely. Park in a safe place, follow the reader maker's instructions, never use the app while driving, never run an engine in an enclosed space, keep cables clear of the pedals, and unplug the reader when you are done. Some readers drain the battery if left connected.
  • No liability for vehicle problems. To the maximum extent permitted by law, we are not liable for any damage to a vehicle, its electronics or its battery, a dead battery, warning lights, lost settings, failed inspections or emissions tests, or any other harm connected with plugging in a reader or using the scan features.
  • Compatibility. Generic OBD-II covers mainly the engine and emissions systems of 1996 and newer vehicles. Not every vehicle, module or reader is supported, and some readings may be missing or wrong.

Clearing trouble codes

The Service clears trouble codes only when a User taps to clear them and confirms. Before you clear codes, understand that:

  • clearing codes does not fix anything. The fault is still there, and the warning light can come back;
  • clearing erases stored codes and freeze-frame data and resets the readiness monitors, so the vehicle may fail an emissions or safety inspection until it has completed a drive cycle;
  • permanent codes cannot be cleared, and some modules may not respond.

You must never clear codes to hide a defect or to mislead a buyer, seller, lender, inspector or anyone else. Clearing codes does not change what you must disclose about a vehicle. You are responsible for deciding who in your business may clear codes. We keep a record of each clear (the codes before, who cleared them and when) as part of your appraisal history, and we may keep and disclose that record where the law allows or requires.

8. Hardware we give you

If we give you an OBD reader or other hardware free of charge, for example with a trial or promotion, it is a gift. It is provided "as is", without any warranty or condition from us, and we have no duty to repair, replace or support it. Any manufacturer's warranty is between you and the manufacturer. Ownership and all risk pass to you on delivery. Section 7 applies to its use.

9. Third-party data and services

  • Some of the information in the Service comes from third parties, including vehicle data providers, market listings, public databases (such as recall and VIN decoding data) and AI service providers.
  • We don't control or verify these sources. Their information may be inaccurate, incomplete, delayed or unavailable, and we are not responsible for it.
  • We may add, change or stop using any source at any time, and a feature that depends on it may change or stop working.
  • Third-party data is provided for your own internal business use. You may not copy, resell or redistribute it, and it may be subject to extra restrictions that we pass on to you.

10. Acceptable use

You and your Users must not:

  • scrape, crawl, harvest or bulk-download data from the Service, or use bots or automated tools to access it, except through features we provide for that purpose;
  • copy, modify, decompile, disassemble or reverse engineer the Service, or try to discover its source code, data sources, models or methods;
  • resell, sublicense, rent or share the Service or its data with anyone outside your business, or use it to build or improve a competing product or dataset;
  • use the Service to mislead consumers or anyone else, including by hiding defects, clearing codes to conceal problems, or misrepresenting a vehicle's condition, history, odometer reading or value;
  • send spam or other messages through the Service without the consent the law requires;
  • upload content you don't have the right to share, or anything unlawful, harmful or malicious;
  • get around usage limits, security or access controls, or interfere with the Service or other customers; or
  • use the Service in any way that breaks the law, including privacy, anti-spam, consumer protection, motor dealer and export laws.

11. Your data

  • You own your data. "Customer Data" means the information you and your Users put into the Service, such as vehicles, VINs, photos, scan results, notes, inventory, invoices and customer details. As between you and us, you own your Customer Data.
  • You give us a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit and display Customer Data as needed to provide, support, secure and improve the Service, and to share it with our service providers for those purposes.
  • You may use the reports and estimates the Service creates for you in your own business, including sharing a vehicle report with a potential buyer or wholesaler, subject to Sections 6 and 9.
  • De-identified and aggregated data. We may create data from Customer Data and from use of the Service that has been de-identified, aggregated or combined with other data so that it does not identify you, any User or any individual ("Aggregated Data"). We own Aggregated Data and may use it, during and after your subscription, to operate, power and improve the Service, including to build market statistics, valuations and benchmarks shown to other customers. We will never identify your dealership to other customers.
  • To help detect odometer problems, vehicle facts tied to a VIN, such as an odometer reading and the date it was recorded, may be shown to other customers without saying who recorded it.
  • You are responsible for the accuracy of your Customer Data and for having all rights and consents needed to put it into the Service, including personal information about your customers.

12. Personal information and privacy

Our Privacy Policy explains how we handle personal information. Where you put personal information about your customers or other people into the Service, you are responsible for collecting it lawfully, telling them how it will be used, and getting any consent required, and we handle that information on your behalf to provide the Service.

13. Our intellectual property

  • We and our licensors own the Service, including its software, designs, data, models, methods, reports, and the Appraise for Dealers name and logos. These Terms don't transfer any ownership to you.
  • While your subscription or trial is active and you follow these Terms, we give you a limited, non-exclusive, non-transferable, revocable right for your Users to use the Service for your internal business purposes.
  • We reserve all rights not expressly granted to you.

14. Feedback

If you send us ideas, suggestions or other feedback, we may use them for any purpose without paying you or owing you anything.

15. Beta features

We may offer features labelled beta, preview, early access or similar. They may be incomplete, unreliable or changed or removed at any time, are provided "as is" without any commitment, and are used at your own risk.

16. Changes to the Service

We are always improving the Service. We may add, change, suspend or remove features, data sources, integrations, supported devices and usage limits at any time. We will try to tell you in advance about changes that significantly reduce what your plan includes.

17. Disclaimer of warranties

To the maximum extent permitted by law, the Service, all hardware we provide, all data and all estimates and other output are provided "as is" and "as available", with all faults. We disclaim all warranties, representations and conditions of any kind, whether express, implied, statutory or otherwise, including any of merchantability, merchantable quality, fitness for a particular purpose, durability, title, non-infringement, accuracy and completeness, and any arising from a course of dealing or usage of trade. We do not promise that the Service will be uninterrupted, error-free or secure, that data will never be lost, or that any estimate will be correct.

18. Limitation of liability

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any lost profits, revenue, business, opportunity, goodwill, data or anticipated savings, or for losses from buying, selling, pricing, reconditioning or disclosure decisions, even if they were foreseeable or we were told they were possible.
  • Our total liability for all claims of any kind relating to the Service or these Terms is limited to the fees you actually paid us for the Service in the 3 months before the event that gave rise to the claim.
  • These limits apply to every kind of claim, whether in contract, tort (including negligence), strict liability, under statute or otherwise, including a fundamental breach or a failure of essential purpose of any remedy.
  • These limits also protect our affiliates, directors, officers, employees, contractors and suppliers.

19. Your indemnity

You will defend, indemnify and hold harmless us and our affiliates, directors, officers, employees and contractors from all claims, losses, damages, fines, penalties, costs and expenses (including reasonable legal fees) arising from or related to:

  • your or your Users' use of the Service;
  • any vehicle you buy, sell, appraise, scan or clear codes on, and your dealings with customers, buyers, sellers, lenders, inspectors or regulators;
  • your Customer Data, and any messages you send using the Service; or
  • any breach of these Terms or of the law by you or your Users.

20. Force majeure

We are not responsible for any delay or failure caused by events beyond our reasonable control, such as natural disasters, fire, flood, severe weather, pandemics, war, terrorism, civil unrest, labour disputes, government action, power or internet failures, cyberattacks, or outages or failures of our service providers.

21. Suspension and termination

  • You can stop using the Service at any time, and you can cancel a subscription as described in Section 5.
  • We may suspend or limit your access, or close your account, immediately and without liability if you or your Users breach these Terms (including by not paying), if your use creates a security, legal or reputational risk for us or others, if the law requires it, or if your business becomes insolvent or stops operating.
  • We may also stop providing the Service to you for any other reason by giving you 30 days' notice. In that case we will refund any fees you prepaid for time after your access ends.
  • When your account ends, your right to use the Service ends, any unpaid fees become due immediately, and Sections 5 (for unpaid fees), 6 to 14, 17 to 20, 22 and 24 to 27, and any other terms that by their nature should continue, still apply.

22. Your data after your account ends

  • For 30 days after your account is cancelled or closed, or after a trial ends without a subscription, you may ask us for a copy of your Customer Data in a commonly used format. We may decline if we closed your account because of unlawful use.
  • After those 30 days we may delete your Customer Data at any time without further notice. We aim to delete it within 90 days after that, except for copies in backups (which are deleted on their normal schedule), information we must keep by law (such as billing and tax records), and Aggregated Data. We may, but don't have to, keep data longer so you can pick up where you left off.
  • It is your responsibility to export anything you need before it is deleted.

23. Changes to these Terms

We may update these Terms from time to time. We will post the new version with a new "Last updated" date. If a change is material, we will tell you by email or in the Service at least 15 days before it takes effect, unless the change is needed sooner for legal or security reasons. If you keep using the Service after a change takes effect, you accept the updated Terms. If you don't agree, cancel before then.

24. Notices

  • You agree that we may give you notices, invoices and other communications electronically, by email to your account owner's email address or in the Service. Notices are received on the business day after we send them.
  • Keep your account owner's email address current. We are not responsible if you miss a notice because it is out of date.
  • Send legal notices to us at [email protected].

25. App stores

If you download the app from an app store, these Terms are between you and us, not the app store. The app store provider is not responsible for the app, its content, support, maintenance or any warranty, or for any claims about it, including product liability, legal compliance or intellectual property claims. You must also follow the app store's terms of use. The app store provider and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

26. Governing law and disputes

  • These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there, without regard to conflict-of-law rules.
  • If a dispute arises, please contact us first so we can try to resolve it informally.
  • You and we agree that the courts located in Calgary, Alberta have exclusive jurisdiction over any dispute relating to the Service or these Terms, and both submit to those courts.
  • To the extent permitted by law, any claim must be brought individually, not as a plaintiff or class member in a class or representative action.

27. General

  • Entire agreement. These Terms, our Privacy Policy and any order or plan details you accept at checkout are the entire agreement between you and us about the Service, and replace any earlier agreements or statements about it.
  • Severability. If any part of these Terms is found invalid or unenforceable, it will be limited or removed only as much as needed, and the rest will stay in effect.
  • Assignment. You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms, for example to an affiliate or as part of a merger, sale of assets or reorganisation.
  • No waiver. If we don't enforce a right, we have not waived it.
  • Relationship. You and we are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship.
  • No other beneficiaries. Except as stated in Section 25, no one other than you and us has rights under these Terms.
  • Interpretation. Headings are for convenience only. "Including" means "including without limitation".
